1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Jupitor ("Company," "we," "us," or "our") concerning your access to and use of the Jupitor Studio platform (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Definitions

• "Creator" means a user who creates content and offers subscriptions
• "Supporter" means a user who subscribes to and supports Creators
• "Content" means any text, images, videos, audio, or other materials posted on the Service
• "Subscription" means a recurring payment arrangement between a Supporter and Creator

3. Account Terms

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Requirements

• You must be at least 18 years old
• You must be legally capable of entering into binding contracts
• You must not have been previously banned from the Service
• Your use must comply with all applicable laws and regulations

4. Creator Terms

4.1 Creator Eligibility

To become a Creator, you must:

• Complete identity verification as required
• Provide valid tax information (W-9 for US persons, W-8 for non-US persons)
• Have a valid Stripe account for receiving payments
• Comply with all content guidelines and policies

4.2 Creator Obligations

As a Creator, you agree to:

• Deliver content and benefits as promised to your Supporters
• Respond to Supporter inquiries in a timely manner
• Maintain professional conduct in all interactions
• Not engage in deceptive or fraudulent practices
• Comply with all tax obligations related to your earnings

4.3 Content Ownership

You retain all rights to your Content. By posting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute your Content solely for the purpose of operating the Service.

5. Supporter Terms

5.1 Subscriptions

When you subscribe to a Creator:

• You authorize recurring charges based on the subscription tier
• Subscriptions automatically renew until cancelled
• You may cancel anytime, effective at the end of the current period
• No refunds are provided for partial subscription periods

5.2 Supporter Conduct

As a Supporter, you agree not to:

• Share or redistribute Creator content without permission
• Harass, threaten, or abuse Creators or other users
• Use the Service for any illegal purposes
• Attempt to circumvent payment systems

6. Payment Terms

6.1 Payment Processing

All payments are processed securely through Stripe. We do not store credit card information. By using our Service, you agree to Stripe's terms of service.

6.2 Platform Fees

We charge a platform fee of 8.5% plus $0.35 per transaction on all Creator earnings. This fee covers:

• Payment processing (including Stripe fees)
• Platform maintenance and development
• Customer support
• Hosting and infrastructure

6.3 Creator Payouts

Creators control their payout schedule and may request payouts:

• Daily, weekly, or monthly
• Minimum payout threshold: $20
• Payouts processed within 2-3 business days
• Available via bank transfer or supported payout methods

6.4 Chargebacks

We do not dispute chargebacks on behalf of Creators. When a Supporter initiates a chargeback:

• The subscription amount will be deducted from the Creator's balance
• A $15 chargeback fee will be charged to the Creator
• The Supporter's subscription will be immediately cancelled
• The Supporter may be banned from the platform

Creators are responsible for maintaining good relationships with their Supporters to minimize chargeback risk.

6.5 Taxes

Creators are responsible for their own tax obligations. We provide 1099 forms to US creators who earn over $600 annually. International creators receive appropriate tax documentation based on their jurisdiction.

7. Prohibited Uses

You may not use our Service to:

• Post illegal content or engage in illegal activities
• Infringe on intellectual property rights
• Share sexually explicit content involving minors
• Engage in harassment, hate speech, or discrimination
• Spread malware or engage in phishing
• Manipulate or defraud the payment system
• Create multiple accounts to circumvent restrictions
• Scrape or harvest user data
• Interfere with the Service's operation

8. Content Guidelines

All content must comply with our community guidelines:

• Be original or properly licensed
• Not violate any laws or regulations
• Not contain hate speech or discrimination
• Not promote violence or self-harm
• Not include non-consensual intimate content
• Be accurately described and not misleading

We reserve the right to remove content that violates these guidelines without notice.

9. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in the Privacy Policy.

10. Intellectual Property

10.1 Platform Rights

The Service, including its design, features, and content (excluding user-generated content), is owned by Jupitor and protected by intellectual property laws.

10.2 DMCA Compliance

We respect intellectual property rights and will respond to valid DMCA takedown requests. To file a notice, contact our designated agent at legal@jupitorstudio.com.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Violation of applicable laws
• Conduct harmful to other users or the Service
• Extended inactivity

Upon termination, your right to use the Service will cease immediately. Creators must fulfill existing subscription obligations or issue refunds.

12. Disclaimers and Limitations

12.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

12.2 Creator Content

We are not responsible for Creator content or conduct. Disputes between Creators and Supporters should be resolved directly between the parties.

12.3 Limitation of Liability

To the maximum extent permitted by law, Jupitor shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless Jupitor, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Dispute Resolution

14.1 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

14.2 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms constitute the entire agreement between you and Jupitor regarding the Service.

15.3 Severability

If any provision of these Terms is found invalid, the remaining provisions will continue in effect.

15.4 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance.
